Grab to Acquire Atome Financial for $1.49 Billion
Grab agreed to acquire a 60% stake in Atome Financial for $1.49 billion to scale its consumer lending and digital finance ecosystem.
Grab Holdings Ltd. agreed to acquire a controlling 60% stake in Atome Financial, a Singapore-based digital finance platform, for $1.49 billion in cash. The transaction is expected to close by the third quarter of 2027, with a subsequent agreement for Grab to purchase the remaining 40% stake from Advance Intelligence Group and other shareholders approximately two years later, with a deadline of Q3 2029 at the earliest.
This two-stage structure is designed to de-risk the transaction from a capital allocation perspective. Grab intends to retain Atome's management team and integrate its AI-powered lending infrastructure to enhance credit risk underwriting. The acquisition aims to scale Grab's consumer lending capabilities and expand its reach into the beauty, travel, and e-commerce sectors.
Following the announcement, Grab raised its 2028 overall adjusted EBITDA target to $1.7 billion, with the financial services segment specifically expected to generate $500 million in adjusted EBITDA by 2028. This move follows other recent expansions, including the acquisition of Stash Financial and Foodpanda's operations in Taiwan.
