China Securities Regulator Tightens Scrutiny of Company Spinoffs
The China Securities Regulatory Commission is restricting the spinoff of profitable business units to protect shareholders and reduce business overlap between parent companies and new listings.
The China Securities Regulatory Commission is implementing stricter oversight of publicly traded companies that spin off business units for separate listings. The regulator intends to discourage firms from separating their most profitable divisions, a practice it views as unfair to the shareholders of the parent company.
As part of these new measures, the regulator is requiring that spun-off units operate in different sectors than their parent companies. This requirement aims to minimize business overlap and limit related-party transactions. These regulatory shifts are expected to reduce the overall volume of new deals within the Chinese market.
