RBI Mandates Tata Sons List on Stock Exchanges
Reserve Bank of India Governor Sanjay Malhotra reaffirmed that upper-layer non-banking financial companies, including Tata Sons, must list on stock exchanges.
Reserve Bank of India Governor Sanjay Malhotra reaffirmed that non-banking financial companies classified in the upper layer must list on stock exchanges. The statement follows the central bank's September 2026 rejection of a request by Tata Sons to surrender its registration as a core investment company.
Tata Sons was classified as an upper-layer NBFC in 2022 and given three years to go public. In an attempt to avoid listing, the company repaid its outstanding debt and sought to cancel its registration. Additionally, Tata Trusts proposed merging Tata Consulting Engineers and Tata Electronics Systems Solutions into Tata Sons to alter its business mix and disqualify it from NBFC status.
While Tata Trusts opposes the public listing, the Shapoorji Pallonji Group supports the move. Governor Malhotra stated that core investment companies with direct or indirect access to public funds must register because of systemic risks associated with leveraging funds through group companies.
