Eagle Nuclear Energy to Acquire Noble Plains Uranium

Eagle Nuclear Energy Corp. signed a binding agreement to acquire Noble Plains Uranium Corp. in an all-stock deal to expand its domestic uranium portfolio.

Eagle Nuclear Energy Corp. signed a binding Letter of Intent to acquire 100% of Noble Plains Uranium Corp. in an all-stock transaction. Eagle will acquire common shares at a deemed price of CAD $0.125 per share, which represents a premium of approximately 92% over the closing price on October 29, 2026.

The acquisition expands Eagle's domestic uranium portfolio into Wyoming, adding In-Situ Recovery potential through the Shirley Central and Duck Creek projects. The Duck Creek project in the Powder River basin contains 1.04 million lbs of inferred and 5.32 million lbs of indicated U3O8 resources. This move complements Eagle's existing Aurora and Cordex deposits in Oregon.

Upon closing, existing Eagle stockholders are expected to hold 95.22% of the company, while former Noble Plains shareholders will hold 4.78%. The deal remains subject to a definitive agreement as well as customary shareholder and regulatory approvals.
