Reserve Bank of India Retains Tata Sons Private Limited as Upper-Layer NBFC
The Reserve Bank of India retained Tata Sons Private Limited in its most stringent regulatory category for non-banking financial companies while reviewing the conglomerate's application for deregistration.
The Reserve Bank of India retained Tata Sons Private Limited in the Upper Layer (NBFC-UL) category of non-banking financial companies on August 6. This classification applies to firms with assets of ₹1 trillion or more; Tata Sons Private Limited reported standalone assets between ₹1.75 trillion and ₹2.01 trillion as of March 2026.
Governor Sanjay Malhotra previously indicated that the bank's principle-based framework would likely keep the company on the list. Upper-layer entities face enhanced oversight and tighter regulatory requirements, including a mandate to list publicly. Tata Sons Private Limited remains privately held, while other companies on the 2022 list have complied with listing rules.
Tata Sons Private Limited has applied for deregistration as an NBFC by surrendering its core investment company registration to avoid these requirements. The central bank stated this application remains under examination. The decision to retain the classification persists despite concerns from Noel Tata, Chairman of Tata Trusts, who argued that a public listing could jeopardize the holding company's long-term structure and philanthropic goals.
