Tata Sons Chairman's Family Ties to TVS Motor Spark Conflict
Tata Sons Chairman N Chandrasekaran faces governance scrutiny after family members leased land from TVS Motor, a company led by a director supporting his reappointment.
Governance concerns have emerged at Tata Sons after it was revealed that family members of chairman Natarajan Chandrasekaran entered into a business arrangement with TVS Motor. Lalitha and Pranav Chandrasekaran, directors of Hanno One Warehousing Pvt Ltd, leased 17 acres of land in Tamil Nadu from TVS Motor for a warehouse project valued at ₹106.3 crore, supported by a ₹60 crore loan from HDFC Bank.
The deal is under scrutiny due to the role of Venu Srinivasan, chairman-emeritus of TVS Motor. Srinivasan serves as a vice-chairman of Tata Trusts and is a member of the Tata Sons nomination and remuneration committee. He was one of four directors who supported a new five-year term for Chandrasekaran, opposing the views of Tata Trusts chairman Noel Tata.
Conflicting accounts have surfaced regarding the transparency of the deal. Tata Sons maintains that the incorporation of Hanno One was disclosed and that the specific transaction with TVS Motor did not require further disclosure. However, Tata Trusts stated that Srinivasan failed to make any such disclosures to its trustees.
