SharonAI Raises $1.6 Billion to Build Australian AI Factory
SharonAI Holdings Inc. closed $1.6 billion in financing to build one of Australia's largest AI factories through a strategic collaboration with NVIDIA.
SharonAI Holdings Inc. closed an oversubscribed $1.6 billion private placement financing on June 29 to fund a six-year strategic compute collaboration with NVIDIA. The company intends to use the capital to construct one of Australia's largest AI factories, which will deploy up to 40,000 Grace Blackwell GB300 GPUs.
The funding consists of approximately $900 million in Class A Ordinary Common Stock and pre-funded warrants, alongside $700 million in 4.75% Convertible Senior Notes. The investment was anchored by institutional investors, including Situational Awareness L.P. and funds managed by Oaktree Capital Management L.P.
Goldman Sachs & Co. LLC served as the lead placement agent for the transaction, with support from Lucid Capital Markets and financial advisory services provided by Macquarie Principal Finance Pty Limited.
