Nano-X Imaging Ltd. announced on August 6, 2026, that it has entered into a securities purchase agreement with a single long-term institutional investor for a registered direct offering. The deal involves the sale of 8,000,000 ordinary shares and warrants to purchase an additional 8,000,000 ordinary shares.
The combined purchase price for each share and accompanying warrant is $1.00. The warrants are exercisable six months after issuance at a price of $1.15 per share. Nano-X expects to raise approximately $8 million in gross proceeds, which the company intends to utilize for working capital and general corporate purposes.
A.G.P./Alliance Global Partners is serving as the sole placement agent for the transaction. The offering follows the United States Securities and Exchange Commission's declaration of the company's shelf registration statement as effective. The transaction is expected to close on or about August 7, 2026.
