IonQ Shares Drop After $1.3 Billion Acquisition and $2 Billion Capital Raise
IonQ shares fell 9% following the announcement of a $1.3 billion acquisition of Elisity and a $2 billion capital raise to address annual losses.
IonQ, Inc. saw its stock price decline by 9% following two major financial announcements on October 12 and 13. The quantum computing company first announced the acquisition of Elisity, a cybersecurity firm specializing in microsegmentation, in an all-stock transaction valued at $1.3 billion. While the move aims to solve specific engineering challenges, investors initially reacted with concern over ownership dilution.
Simultaneously, the company announced a $2 billion capital raise to combat significant financial losses. IonQ loses approximately $1.4 billion annually and is projected to exhaust its current cash reserves within three years. To secure funding, the company is selling 20.5 million shares of common stock and 29.5 million pre-funded warrants at $40 each, alongside 100 million warrants exercisable at $69.46 per share over the next seven years.
Hights Capital Management, Inc., a private equity firm owned by Susquehanna International Group, has agreed to purchase all the securities involved in the capital raise.
