Kirin Holdings to Acquire Jamieson Wellness for C$2.5 Billion
Kirin Holdings Company, Limited agreed to acquire Jamieson Wellness Inc. in an all-cash deal valued at approximately C$2.5 billion to expand into North America.
Kirin Holdings Company, Limited entered into a definitive agreement to acquire Jamieson Wellness Inc. in an all-cash transaction valued at approximately C$2.5 billion on an enterprise value basis. Kirin will pay C$45.75 per share, which represents a 27% premium to the 20-day volume-weighted average price as of June 24, 2026.
The acquisition aims to expand Kirin's Health Science business into the North American vitamins and dietary supplements market. The Jamieson Wellness Board of Directors unanimously approved the transaction, with leadership stating the deal represents the best path forward for the company and its shareholders.
The transaction remains subject to court, regulatory, and shareholder approvals. A special meeting of shareholders is scheduled for September 2026. If the deal closes as expected in the fourth quarter of 2026, Jamieson Wellness will be delisted from the Toronto Stock Exchange.
