Fairfax Financial Acquires Majority Stake in IDBI Bank

Fairfax Financial Holdings is acquiring a 60.72% stake in IDBI Bank for ₹52,878 crore, marking the largest foreign direct investment in India's financial sector.

The Government of India and the Life Insurance Corporation of India (LIC) approved the sale of a combined 60.72% stake in IDBI Bank to Canada-based Fairfax Financial Holdings for approximately ₹52,878 crore. The transaction, priced at ₹81 per share, involves the government divesting 30.48% and LIC divesting 30.24%. Following the deal, the government will retain a 15% stake and LIC will hold 19%.

Fairfax Financial, led by Prem Watsa, plans to transform IDBI Bank into a diversified financial services hub by integrating its holdings in Go Digit insurance and IIFL Capital Services. To comply with Reserve Bank of India rules prohibiting the ownership of two separate banks, Fairfax must either merge its existing stake in CSB Bank with IDBI Bank or divest from CSB within two years.

Finance Minister Nirmala Sitharaman described the move as a strategic restructuring to enable the bank's next growth phase. However, the sale has faced political and labor opposition. Rahul Gandhi, Leader of the Opposition in the Lok Sabha, criticized the privatization of a profitable institution, while the United Forum of IDBI Officers and Employees organized protests and strike notices, citing concerns over asset undervaluation and the loss of reservation protections for disadvantaged communities.

Government officials and the Ministry of Finance defended the legality of the sale, citing a 2018 Delhi High Court ruling and previous budget speeches to justify the policy shift. The transaction is expected to close by March 2027, pending final regulatory clearances.
